1. Acceptance of Terms
By creating an account or using Cogeter, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and accept these Terms in full. If you do not agree, you may not use the Service.
2. Description of Service
Cogeter is a professional coaching platform that allows certified fitness coaches and trainers ("Coaches") to manage their clients, design training programs, track workout performance, and communicate securely. The platform includes a web portal for coaches and a companion mobile application for clients.
3. Account Registration
To use Cogeter, you must register an account and provide accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
- Notifying us immediately at fitness@cogeter.com if you suspect unauthorized access.
Cogeter reserves the right to suspend or terminate accounts that contain false or misleading information.
4. Coach Responsibilities
Coaches using the platform agree to:
- Hold the appropriate certifications and qualifications required by their local jurisdiction.
- Provide services in a professional and ethical manner.
- Not upload any content that is illegal, defamatory, abusive, or infringes on third-party intellectual property rights.
- Ensure client data they input or manage complies with applicable data protection laws.
5. Client Relationships
The relationship between a Coach and their clients is independent of Cogeter. Cogeter is a software tool and does not provide coaching, training advice, or medical guidance. Cogeter is not responsible for any outcomes arising from the coaching relationship or programs created on the platform.
6. Subscription and Billing
Access to Cogeter is provided on a subscription basis. Details of pricing, billing cycles, and features are outlined on our Pricing page. By subscribing:
- You authorize us to charge your payment method on a recurring basis.
- Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.
- Refunds are issued at our sole discretion and governed by our Refund Policy.
7. Intellectual Property
All content, code, design, branding, and materials that form part of the Cogeter platform are owned by Cogeter and its licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
You retain ownership of all training programs, session notes, and client data you create within the platform.
8. Prohibited Conduct
You agree not to:
- Attempt to access any part of the system you are not authorized to use.
- Reverse-engineer, decompile, or disassemble the platform.
- Use the platform to send spam, malware, or engage in phishing.
- Scrape, harvest, or systematically extract data from the platform.
- Use the platform for any unlawful purpose.
9. Termination
You may cancel your account at any time from within the platform settings. Cogeter may suspend or terminate your access at any time, with or without notice, if you violate these Terms or engage in conduct that is harmful to other users, Cogeter, or third parties.
Upon termination, your access to the platform will cease and your data may be retained or deleted in accordance with our Privacy Policy.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Cogeter does not warrant that the platform will be error-free, uninterrupted, or free of viruses or other harmful components.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Cogeter and its directors, employees, partners, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
12. Indemnification
You agree to indemnify and hold harmless Cogeter and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the platform or violation of these Terms.
13. Governing Law
These Terms are governed by the laws of the United Arab Emirates, without regard to its conflict-of-law principles. Any disputes shall be resolved exclusively in the courts of Dubai, UAE.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of significant changes via email or an in-app notice. Continued use of the platform after changes are posted constitutes your acceptance of the updated Terms.
